Terms of Service

The agreement between Apture Studios LLC and the photographers and studios who use Apture.

1. Who we are and what this covers

Apture is operated by Apture Studios LLC ("Apture", "we", "us"). These terms apply to anyone who creates or uses a studio account on Apture: the studio's owner and anyone they invite (together "you"). By creating an account or using Apture, you agree to these terms, the Privacy Policy and the Data Processing Agreement.

If you sign up on behalf of a business, you confirm you're allowed to accept these terms for it.

2. What Apture does

Apture gives photographers a website, online booking, client portal, forms and contracts, galleries, email to clients and the tools to run them. We host it, keep it running, and improve it over time. Features may change; we won't remove something central to how you work without reasonable notice.

Apture is a tool for your business. You decide who your clients are, what you offer, what you charge and what you send them.

3. Your account

Give accurate details and keep your password safe. Turning on two-step sign-in is strongly recommended. You're responsible for what happens under your account and for the people you invite to your studio; you can remove them any time.

Tell us right away at support@aptureapp.com if you think someone else has accessed your account.

4. Plans, trial and billing

New studios get a 14-day free trial with no card required. To keep using the studio after the trial, choose a paid plan. Current plans and prices are shown on the Billing page and at signup.

Plans renew automatically each month or year until you cancel. Payments are handled by Stripe. Prices don't include taxes, which are added where required.

Each plan includes an amount of photo storage. If a paid studio goes over it, extra storage is billed in blocks (shown on the Billing page), measured daily.

You can change or cancel your plan any time from Billing. Cancelling stops the next renewal; you keep access until the end of the period you've paid for. We don't refund partial periods, except where the law requires it.

We may change prices with at least 30 days' notice by email. The new price applies from your next renewal after the notice period.

5. If a payment fails

If a renewal payment fails, everything keeps working for 7 days while you update your card. After that the studio is restricted (you can sign in, see everything and pay, but can't start new work such as uploads or online bookings) and, 14 days later, suspended (your website and client pages show as temporarily unavailable). Paying restores everything; nothing is deleted because of a failed payment.

6. Payments from your clients

Your clients pay you through your own Stripe account, which you connect in Apture. Those payments are between you, your client and Stripe, under Stripe's own terms. Apture doesn't take a fee from them and isn't a party to them. Refunds, disputes and chargebacks on your clients' payments are yours to handle in your Stripe account.

Payment processing services for studios on Apture are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (together, the "Stripe Services Agreement"), available at stripe.com/legal/connect-account. By connecting Stripe, you agree to the Stripe Services Agreement, as Stripe may modify it from time to time. As a condition of Apture enabling payments through Stripe, you agree to provide Apture accurate and complete information about you and your business, and you authorize Apture to share it and transaction information related to your use of Stripe's payment processing services with Stripe.

7. Your content and your clients' data

Your photos, text, designs and records belong to you. You give us permission to store, process, display and send them only as needed to run your studio on Apture (for example, to show your galleries to your clients, make smaller copies of your photos, and back them up).

You're responsible for having the right to everything you upload, including permission from the people in your photos where the law requires it, and for how you use your clients' personal information. For that information, you're in charge (the "controller") and we act on your instructions (the "processor"), as set out in the Data Processing Agreement.

You can export your records and photos any time from Your data in the studio admin.

8. Acceptable use

Don't use Apture to break the law, infringe anyone's rights, send spam or unwanted email, upload malware, share sexual content involving minors or non-consensual intimate images, harass anyone, or try to access another studio's data or get around security or plan limits.

We may remove content or suspend a studio that breaks these rules, or when needed to protect other studios, clients or the service. Where we reasonably can, we'll tell you first and give you a chance to fix it.

If too many of your emails bounce or are reported as spam, sending from your studio pauses automatically until the cause is fixed. This protects delivery for every studio.

9. Support access

To help with a problem you've raised, our support staff may view your studio as you or a member of your team would. This is read-only unless changing something is needed to help you, every session requires a written reason, lasts no more than an hour, and is recorded in your studio's activity log. Support can never change your billing, passwords, two-step sign-in, Stripe connection or team roles.

10. Leaving Apture

You can delete your studio from Your data. Deletion happens 30 days after you ask, so you have time to download everything or change your mind; your plan stops renewing right away. After that, your website, client records and photos are removed permanently, apart from what we must keep by law (such as billing records) and what remains in database backups until they roll off.

We may end these terms for a studio that seriously or repeatedly breaks them, or that stays suspended for non-payment for 90 days, after giving notice by email and time to export.

11. Availability and changes

We work hard to keep Apture available and your data safe, but we can't promise it will never be interrupted. Planned maintenance is done at quiet times where possible.

We may update these terms. For changes that matter, we'll tell studio owners in the admin or by email before they take effect, and ask you to accept them. If you don't agree, you can cancel before they take effect.

12. Warranties and liability

Apture is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties not written in these terms, including merchantability, fitness for a particular purpose and non-infringement.

To the extent the law allows, Apture Studios LLC isn't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business or data, and our total liability for any claim relating to Apture is limited to the amount you paid us in the 12 months before the claim arose.

Nothing in these terms limits liability that can't be limited by law.

13. Indemnity

You'll defend and indemnify Apture Studios LLC against third-party claims arising from your content, your use of Apture in breach of these terms, or your dealings with your clients, including their payments.

14. Law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Texas, and both of us agree to their jurisdiction. Before going to court, we'll both try in good faith to settle the dispute by talking it through.

15. Everything else

These terms, the Privacy Policy and the Data Processing Agreement are the whole agreement between us about Apture. If part of them can't be enforced, the rest still applies. Not enforcing a term isn't a waiver of it. You can't transfer your account without our agreement; we may transfer these terms as part of a sale or reorganization of our business, and will tell you if we do.
